No client relationship arises unless and until a formal engagement has been expressly accepted by Jungfrau Advisory and documented in a signed written agreement or engagement letter.

All consulting engagements, advisory mandates and related services are subject to separate written terms agreed between Jungfrau Advisory and the relevant client. Those terms may include the scope of services, fees, confidentiality obligations, intellectual property provisions, liability terms, deliverables, assumptions and any data protection arrangements.
If there is any inconsistency between these Terms of Use and a signed written engagement letter or agreement with a client, the signed written engagement letter or agreement shall prevail to the extent of that inconsistency.

Indemnity
A user shall indemnify and keep indemnified Jungfrau Holdings Ltd, its officers, employees, contractors and agents against losses, liabilities, costs and expenses reasonably incurred arising out of or in connection with the user's breach of these Terms of Use, misuse of the website, infringement of intellectual property or other rights, or any material submitted or transmitted by the user in breach of law, confidence or the rights of any third party. This indemnity does not apply to the extent a loss is caused by the firm's own negligence, fraud or other liability that cannot lawfully be excluded.
Force Majeure, Severability and Waiver
The firm shall not be liable for any delay, failure, suspension or interruption in the performance of obligations relating to the website where and to the extent caused by events beyond its reasonable control.
If any provision of these Terms of Use is held to be invalid, unlawful or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or, if that is not possible, deleted, without affecting the validity of the remaining provisions.

The courts of England and Wales shall have exclusive jurisdiction to determine any dispute or claim arising out of or in connection with these Terms of Use, their subject matter or formation, including non-contractual disputes or claims.
Changes to These Terms
The firm may amend these Terms of Use from time to time to reflect changes in law, regulation, business practice, website functionality or service arrangements. Updated terms will be posted on the website with a revised effective date. Continued use of the website after updated terms have been published constitutes acceptance of the revised Terms of Use.
